These Terms & Conditions govern the use of the services and products provided by And Simple ApS (“Simple”, “Company”, “we”, “us”, “our”).

1. Interpretation and Definitions

In these Terms & Conditions:

  • “Client”, “You”, “Your” refers to the individual or legal entity accessing or using the Service.

  • “Company”, “We”, “Us”, “Our” refers to And Simple ApS, Løngangstræde 20, 1463 Copenhagen, Denmark.

  • “Service” refers to all products, platforms, tools, content, and services provided by the Company, including but not limited to the Simple platform, websites hosted on the staging.andsimple.co domain and its subdomains, software tools, reviews, directories, case studies, and market intelligence.

  • “Agreement” refers to these Terms & Conditions together with any applicable order forms, subscription plans, or written agreements.

Words in the singular include the plural and vice versa. Headings are for convenience only and do not affect interpretation.

2. Acknowledgment

2.1 These Terms & Conditions constitute a legally binding agreement between you and the Company governing your access to and use of the Service.

2.2 Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms & Conditions.

2.3 By accessing or using the Service, you agree to be bound by these Terms & Conditions. If you do not agree, you must not use the Service.

2.4 You represent and warrant that you are at least 18 years of age and have the legal capacity to enter into this Agreement.

2.5 Your use of the Service is also subject to our Privacy Policy, which forms an integral part of these Terms & Conditions.

3.1 Unless otherwise stated, all intellectual property rights in the Service and its content are owned by or licensed to And Simple ApS.

  • Sell, rent, or sub-license material from the Service

  • Reproduce, duplicate, or copy material from the Service

  • Redistribute content from the Service without prior written permission

4. User Content and Comments

4.1 Parts of the Service may allow users to submit content, comments, or information.

4.2 The Company does not pre-screen user-generated content and is not responsible for views expressed by users.

4.3 We reserve the right to monitor, remove, or restrict access to any content that breaches these Terms & Conditions or applicable law.

4.4 You represent and warrant that:

  • You have the right to submit the content

  • The content does not infringe third-party rights

  • The content is not unlawful, defamatory, or misleading

  • The content is not used for unsolicited commercial activity

4.5 By submitting content, you grant And Simple ApS a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute such content in connection with the Service.

5. Hyperlinking to Our Content

5.1 Government agencies, search engines, and news organizations may link to the Service without prior written approval.

5.2 Other organizations may request approval to link to the Service. Approval is granted at our sole discretion and may be withdrawn at any time.

5.3 No use of the Company’s trademarks or branding is permitted without prior written consent.

6. iFrames

You may not frame or embed the Service in a way that alters its visual presentation or appearance without prior written approval.

7. Content Liability

We are not responsible for content appearing on third-party websites linking to or from the Service. You agree to indemnify and hold us harmless against claims arising from your website or content.

You agree to pay all applicable subscription fees in accordance with the pricing and billing terms in effect at the time payment is due.

10.2 Billing Information

You must provide accurate and complete billing and contact information and maintain valid payment details. We may suspend access if payment information is invalid or incomplete.

10.3 Payment Terms

  • Subscription fees are billed in advance

  • Subscriptions automatically renew unless terminated before the renewal date

  • Fees are non-refundable except where required by applicable law or expressly agreed in writing

  • Termination requests must be submitted in writing prior to renewal

11. Suspension and Termination

11.1 Suspension

We may suspend access to the Service for non-payment, breach of these Terms, or security concerns.

11.2 Termination

We may terminate your access upon continued non-payment or material breach. Outstanding fees remain payable.

11.3 Data Handling on Termination

User data may be deleted following suspension or termination in accordance with our data retention obligations and applicable law.

12. Disclaimer and Limitation of Liability

12.1 The Service is provided “as is” and “as available”.

12.2 To the maximum extent permitted by law, we disclaim all warranties, express or implied.

12.3 We are not liable for indirect, incidental, or consequential damages arising from use of the Service.

12.4 Nothing in these Terms limits liability for fraud or liabilities that cannot be excluded under applicable law.

13. Governing Law and Jurisdiction

These Terms & Conditions are governed by and construed in accordance with the laws of Denmark.

14. Dispute Resolution

14.1 Parties shall attempt to resolve disputes in good faith for 30 days.

14.2 If unresolved, disputes may be submitted to mediation by mutual agreement.

14.3 If mediation fails or is declined, disputes shall be settled exclusively by the Copenhagen City Court.

15. Severability and Waiver

15.1 Severability

If any provision is held unenforceable, the remaining provisions remain in effect.

15.2 Waiver

Failure to enforce any provision does not constitute a waiver of future enforcement.
